Acceptance of Terms

By accessing or using the ADage1 platform or website, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use ADage1.

If you are using ADage1 on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, "you" and "your" refer to that organization.

Description of Service

ADage1 is a digital asset management and brand governance platform built for senior living operators. The platform includes:

• ADrive: secure asset storage, search, and distribution.
• Canvas: a template editor for creating on-brand materials within governed guardrails.
• Governance tools: role-based permissions, approval workflows, compliance tagging, and master asset propagation.
• Analytics: usage tracking, campaign effectiveness reporting, and adoption dashboards.
• Related features, APIs, and supporting services as made available from time to time.

Account Registration

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
• You must notify us immediately at hello@adage1.com if you become aware of any unauthorized access to your account.
• Each account is for one individual. Organization accounts may have multiple user seats up to the limit of their subscription plan.

Acceptable Use

You agree not to use ADage1 to:

• Upload, store, or distribute content that infringes any third-party copyright, trademark, or other intellectual property right.
• Store or transmit malicious code, viruses, or any software designed to disrupt or damage systems.
• Attempt to reverse-engineer, decompile, scrape, or resell any part of the platform without express written permission.
• Violate any applicable local, state, national, or international law or regulation.
• Impersonate any person, user, or organization, or falsely represent your affiliation with any entity.
• Interfere with or disrupt the integrity or performance of the platform or its data.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions, including suspending or terminating accounts.

Subscription and Payment

ADage1 is offered on a subscription basis with the following plans:

• Foundation: $99 per user, per month, for single communities getting started.
• Growth: $149 per user, per month, for regional operators scaling governance.
• Pro: $199 per user, per month, for enterprise portfolios with custom needs.

• Beta trials are available. Contact us via the demo request form to get started.
• Subscriptions renew automatically on a monthly or annual basis depending on your chosen billing cycle. You may cancel at any time before the next renewal date.
• Fees paid are non-refundable except as required by applicable law. We do not provide refunds for partial billing periods.
• We reserve the right to change subscription pricing at any time with at least 30 days' written notice to current subscribers.

Intellectual Property

• Your content: You retain full ownership of all assets, files, and content you upload to ADage1. Nothing in these Terms transfers ownership of your content to us.
• License to us: By uploading content, you grant ADageOne, LLC a limited, non-exclusive, royalty-free license to store, process, reproduce, and display that content solely to provide the platform services to your authorized users.
• Our platform: The ADage1 platform, including its design, code, features, branding, and all related intellectual property, is owned by ADageOne, LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from our platform without express written permission.

Data and Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms of Service by reference. By using ADage1, you consent to our data practices as described in that policy.

Availability and Uptime

We target 99.9% platform availability, excluding scheduled maintenance windows, which we will communicate in advance where possible.

We are not liable for downtime or service interruptions caused by third-party infrastructure providers (including Google Cloud, Cloudflare, or MongoDB), events of force majeure, actions of third parties outside our reasonable control, or your own network or equipment failures.

Limitation of Liability

To the maximum extent permitted by applicable law, ADageOne, LLC's total cumulative liability to you for any claims arising from or related to these Terms or your use of ADage1 shall not exceed the total fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall ADageOne, LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, even if we have been advised of the possibility of such damages.

Termination

• You may cancel your account at any time from your account settings or by contacting us at hello@adage1.com.
• We may suspend or terminate your access to ADage1 immediately, without prior notice, if you materially breach these Terms or if we reasonably believe your use poses a risk to the platform or other users.
• Upon termination for any reason, your right to use ADage1 ceases immediately. Your data will be retained for 90 days following termination to allow for recovery, then permanently deleted.
• Sections covering intellectual property, limitation of liability, and governing law survive termination.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the updated Terms take effect and will post the revised Terms on this page with an updated effective date.

Your continued use of ADage1 after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using ADage1 before the effective date.
